These Terms of Use (“Terms”) are an agreement between you and middle place (“we”, “us”) governing your use of the middle place application (“the app”). By downloading or using the app, you agree to these Terms. If you do not agree, please do not use the app.

Important — please read this first. middle place is a tool for personal reflection. It is not a medical device, not therapy, not mental-health treatment, and not a crisis service. It does not diagnose, treat, cure, or prevent any condition, and it is not a substitute for professional care.

1. Eligibility

You must be at least 18 years old, or the age of majority where you live, to use the app. By using it, you confirm that you meet this requirement and that you are using the app for your own personal, non-commercial reflection.

2. Nature of the app — not medical advice

The app provides an AI-assisted space to write and reflect. It does not provide medical, psychological, psychiatric, or other professional advice, diagnosis, or treatment, and no therapeutic relationship is created by using it. Nothing the app produces should be relied upon as a substitute for advice from a qualified professional. Always seek the advice of a licensed clinician with any questions about a medical or mental-health condition, and never disregard professional advice or delay seeking it because of something you read in the app.

3. AI-generated content

Responses are generated by third-party AI models. AI output can be inaccurate, incomplete, or inappropriate, and may not reflect your situation. You are responsible for evaluating any information before relying on it. The app includes an automated, on-device check that surfaces crisis resources in some circumstances; this is a best-effort safety feature and is not guaranteed to detect every situation. Do not rely on the app to recognize or respond to an emergency.

4. License to use the app

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the app on Apple-branded devices you own or control, as permitted by the App Store Terms of Service. You may not sell, rent, sublicense, or redistribute the app.

5. Acceptable use

You agree not to:

  • use the app for any unlawful purpose or in violation of these Terms or any provider’s terms;
  • attempt to circumvent rate limits, abuse-prevention measures, or app attestation, or otherwise interfere with the backend service;
  • reverse engineer, decompile, or disassemble the app except to the extent permitted by law;
  • use the app to generate content that is illegal, harmful to others, or that infringes others’ rights;
  • use the app on behalf of anyone else in a clinical or professional capacity.

6. Your API keys and third-party services

If you choose “bring your own key” mode, you are responsible for your API keys, for any usage and charges incurred under them, and for complying with the relevant provider’s terms (Anthropic and/or Google). Keep your keys confidential. We are not responsible for charges, suspensions, or losses arising from your use of your own keys or third-party services.

7. Service availability & limits

The app is offered as a prototype, “as is” and “as available.” The backend service applies daily message limits and a global capacity cap to control costs and prevent abuse; you may occasionally see a message that the service is at capacity. We may change, suspend, or discontinue the app or backend at any time, with or without notice.

8. Your content

You retain all rights to the content you create in the app (your chats, journal entries, and notes). We do not claim ownership of it. As described in our Privacy Policy, your content stays on your device (and in your own iCloud, if enabled); our backend relays messages to AI providers to generate replies but does not store their content. You are responsible for the content you submit and for keeping your own backups (the app provides export and automatic-backup features for this).

If you use Common Ground, you choose to share a curated profile with another person to generate a comparison. Only share with people you trust, and only the information you’re comfortable sharing — you control what goes into the profile. The feature is end-to-end encrypted as described in the Privacy Policy, but once another person receives their report, what they do with it is outside our control.

9. Intellectual property

The app, including its software, design, and branding, is owned by us and protected by intellectual-property laws. Except for the license granted above, no rights are transferred to you.

10. Disclaimers

To the fullest extent permitted by law, the app is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, secure, or that AI output will be accurate or suitable for any purpose. You use the app at your own risk.

11. Limitation of liability

To the fullest extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, goodwill, or profits, arising out of or related to your use of (or inability to use) the app — even if advised of the possibility. To the extent any liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid for the app in the twelve months before the claim, or USD $10. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the app or your violation of these Terms or applicable law.

13. Termination

You may stop using the app and delete it at any time. We may suspend or terminate your access to the backend service if you violate these Terms or to protect the service. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.

14. Apple App Store terms

These Terms are between you and us, not Apple, and Apple is not responsible for the app or its content. Your use of the app must comply with the Apple Media Services Terms and the standard Licensed Application End User License Agreement (EULA); where these Terms and that EULA conflict, the stricter consumer-protective term applies. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. Apple has no obligation to provide support or maintenance for the app, and any product warranty and product-liability claims are addressed as set out in the standard EULA.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which the developer resides, without regard to conflict-of-law rules, except where mandatory consumer-protection laws of your country of residence apply.

16. Changes to these Terms

We may update these Terms from time to time. The “last updated” date above reflects the current version. Continued use after a change means you accept the revised Terms.
